Strategic Oversight:Collaborate with the Board and executive management to develop and implement the company's strategic goals and objectives.Evaluate business plans, investment proposals, and major corporate actions, providing insightful recommendations for enhancing shareholder value.Governance and Compliance:Uphold the highest standards of corporate governance and ethical conduct, ensuring compliance with relevant laws, regulations, and internal policies.Monitor and assess the effectiveness of internal controls, risk management processes, and financial reporting systems.Risk Management:Identify, evaluate, and mitigate key risks facing the company, including credit, operational, and regulatory risks.Review risk management frameworks, policies, and procedures, and advise on measures to strengthen risk oversight.Financial Oversight:Review financial statements, budgets, and financial performance indicators, ensuring accuracy, transparency, and integrity in financial reporting.Monitor capital adequacy, liquidity, and asset quality to safeguard the financial soundness of the NBFC.Stakeholder Engagement:Act as a liaison between the Board, management, shareholders, regulators, and other stakeholders, representing their interests and concerns.Foster positive relationships with stakeholders, promoting transparency, trust, and effective communication.Board Effectiveness:Participate actively in Board meetings, committees, and discussions, contributing diverse perspectives and independent judgment.Evaluate the Board's composition, structure, and effectiveness, and recommend enhancements to optimize governance and performance.Qualifications and Skills:Proven experience serving as an Independent Director on the Board of a regulated financial institution, preferably an NBFC.In-depth understanding of the financial services industry, including regulatory requirements, risk management practices, and market dynamics.Strong analytical skills with the ability to assess complex issues, interpret financial data, and make informed decisions.Excellent communication and interpersonal skills, with the ability to collaborate effectively with diverse stakeholders.Integrity, independence of thought, and a commitment to upholding ethical standards and corporate values.Relevant professional qualifications such as Chartered Accountant (CA), Certified Financial Analyst (CFA), or equivalent will be advantageous.Familiarity with the legal and regulatory framework governing NBFCs in India, including the Reserve Bank of India (RBI) guidelines.- Technology heavy background (CTO,CDO,CIO) profiles will be preferred- Financial services background is a must have- Delhi NCR based candidates would be preferred
